Terms of Service

1. Scope of Services

Tegnal delivers enterprise-grade software engineering services. Specific technical scopes, architectural deliverables, delivery timelines, and project pricing are formally stipulated in a detailed Technical & Commercial Proposal or Master Services Agreement (MSA) signed between the client and Tegnal.

Any feature, integration, or structural workflow not explicitly included in the initial approved statement of work will be evaluated and quoted separately as an additional engineering scope.

2. Intellectual Property & Code Ownership

We strongly believe in complete technological sovereignty and freedom for our clients:

• Bespoke Software Code: Upon settlement of the contractual project fee, 100% of the proprietary source code, database architectures, and custom modules developed specifically for your project belong exclusively to your business.
• Open-Source Frameworks & Upstream Core: Standard open-source components (such as Odoo core modules, standard libraries, and open frameworks) remain under their respective licenses (LGPL, MIT, Apache), ensuring you are never locked into proprietary vendor constraints.
• Internal Utilities & Tooling: Generic pre-existing utility libraries and scaffolding tools created by Tegnal remain Tegnal's intellectual property, with a perpetual, non-exclusive license granted to the client to run and operate their system freely.

3. Development Sprints & Milestones

We follow an iterative agile methodology organized into structured milestones:

• Active progress is deployed to dedicated staging environments accessible to your team.
• We conduct sprint reviews and live functional demonstrations to validate each core module.
• Clients receive a reasonable testing window to execute User Acceptance Testing (UAT) and log feedback prior to production cutover.

4. Commercial Terms & Invoicing

Payment milestones and billing schedules are set within the formal contract. All payments are billed with official tax invoices compliant with relevant fiscal authorities. Fulfilling scheduled payment terms is required for staged deployments and continuous production support.

5. Warranty & Technical Support

Every software platform delivered by Tegnal includes a post-launch warranty period (typically 30 to 90 days as defined in the contract), during which we correct any technical bugs or deviations from the agreed specifications at zero additional cost.

Following warranty completion, clients can engage continuous technical support, infrastructure management, and performance monitoring via Service Level Agreements (SLAs).

6. Confidentiality & Non-Disclosure (NDA)

Tegnal and the client commit to strict mutual non-disclosure regarding all technical architecture, source repositories, operational data, and commercial strategies shared during the engagement. This confidentiality obligation remains in force indefinitely after project completion.

7. Limitation of Liability

Tegnal applies strict code reviews, automated CI/CD checks, and security audits. However, we cannot be held liable for outages caused by:

• Third-party cloud infrastructure outages (AWS, GCP, Azure, Cloudflare, etc.).
• Downtime or breaking changes from external APIs (payment gateways, tax authority endpoints, or telecom networks).
• Unauthorized code or database modifications made by third-party teams without Tegnal's supervision.

8. Governing Law & Dispute Resolution

These terms are governed and construed in accordance with the jurisdiction stipulated in the Master Services Agreement. Any dispute shall initially be addressed through good-faith negotiation and amicable technical review between executive parties.
